License Agreement

Each purchase licenses one organization to use the product in one LMS, for unlimited learners, with no expiration. The buying organization is the licensee.

What you can do

• Load an e-learning course into one LMS and assign it to any number of your own employees, contractors or volunteers
• Run instructor-led kits in person or virtually, as many times as you like, inside your organization
• Share materials with an outside trainer or training firm you hire, only to deliver training to your own organization's people; they may not keep or reuse the materials for anyone else
• Edit the Word and PowerPoint files (facilitator guides, decks, workbooks, templates) to fit your organization's terms and process
• Print copies of participant materials for your own sessions

What stays locked

• E-learning courses, narration, voiceovers and video are KA Company property and may not be edited, extracted or reused outside the course
• No derivative works of locked content, including translations or versions made with AI tools
• Copyright notices, trademarks, watermarks and the license page must stay in every file, including edited versions, and technical limits may not be bypassed

What is not allowed

• Using a course in a second LMS without a second license or the Enterprise upgrade
• Reselling, sublicensing, sharing or giving products to another organization, including clients, affiliates or parent companies
• Posting products publicly or on a shared site, marketplace or file-sharing service
• Using KA content, methods or narration to build or train a competing product, including AI tools

Enterprise upgrade. Use across several LMSs, affiliates or white-label needs is available through the Enterprise upgrade. Contact support@kacompany.us.

Free items. Free downloads are a sample licensed for internal use by the downloading organization only. The rules above still apply.

Ending the license. If these terms are broken, the license ends automatically, with no refund. The licensee must stop all use and delete or destroy every copy, in every system, within 30 days, and confirm this in writing if KA Company asks.

Compliance check. KA Company may ask for reasonable confirmation that products are being used within this license.

Licensed, not sold. Each purchase is a license to use the product, not a sale of the content. KA Company reserves all rights not expressly granted here. The license may not be transferred or assigned without KA Company's written approval.

Warranty. If a file is defective, KA Company will replace it; that is the only remedy. EXCEPT FOR THAT REPLACEMENT, PRODUCTS ARE PROVIDED "AS IS," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT, TO THE EXTENT THE LAW ALLOWS.

General

• Buying or downloading a product means accepting this agreement
• Any use not covered here needs written permission from KA Company (support@kacompany.us)
• This agreement and the Terms of Use are the complete agreement and replace any earlier understanding
• If any part is found unenforceable, the rest still applies
• Not enforcing a term once does not waive it
• KA Company may update this agreement; the version in effect at purchase applies to that purchase
